This Agreement records how Aeroinis arranges your charter, what you receive before you commit, and what happens when plans or aircraft change. It is written to be read once, in full, by the person who signs it.

1. What Aeroinis is, and is not

1.1 Aeroinis Aviation (“Aeroinis”, “we”) is an air charter broker. Aeroinis acts as an independent air charter broker and intermediary, arranging air transportation on behalf of the Client. Aeroinis is not an air carrier and does not own, operate, crew or maintain aircraft.

1.2 Every flight is performed by a licensed air carrier (the “Operator”) holding a valid Air Operator Certificate for the flight concerned. The Operator is identified in your Quotation and Flight Order.

1.3 The Operator has sole operational control of the flight, including airworthiness, crewing, routing and the decision to depart, delay, divert or cancel. Operational safety and regulatory compliance remain the responsibility of the Operator and the competent aviation authorities.

1.4 The contract of carriage is entered into between you and the Operator. Aeroinis' contract with you is this brokerage agreement.

For clarityWe find, verify and manage the aircraft; a licensed carrier flies it. That distinction is stated here rather than buried, because it decides who answers for what.

2. The documents that govern your booking

2.1 Your booking is governed by the following documents, in this order of priority:

  1. The Flight Order — the written booking confirmation setting out the commercial and operational terms of your charter.
  2. Any booking-specific Special Conditions disclosed to you before booking.
  3. The Aeroinis Terms of Business — published in full.
  4. This Charter Agreement and, where applicable, the Card Authorisation Agreement.
  5. The Quotation.

2.2 The Operator's own conditions of carriage govern the carriage itself.

2.3 The Aeroinis contracting entity for your booking is identified on the Flight Order and Invoice, with its registered office and registration details.

3. Quotation, acceptance and when the booking becomes binding

3.1 A Quotation is an invitation to book. It is not a reservation unless expressly stated.

3.2 Every Quotation is subject to aircraft availability, Operator acceptance, owner approval where applicable, crew availability, permits, traffic rights, slots, parking, airport operating restrictions, handling availability and regulatory approval. Availability may change until the booking is confirmed.

3.3 The booking becomes binding when all of the following have occurred: (a) you have accepted the Flight Order in writing or electronically; (b) Aeroinis has confirmed acceptance of the booking; (c) the Operator has accepted the flight; and (d) any payment required to secure the flight has been received in cleared funds, unless Aeroinis expressly agrees otherwise.

3.4 You confirm that you are at least 18 years old and have the capacity to enter into this Agreement, and that you are authorised to make the booking for every passenger named in it.

4. What is named before you commit

4.1 Before you commit, the Quotation identifies the proposed aircraft type and the licensed Operator, together with the routing, the schedule, the Charter Price and what the price includes and excludes.

4.2 The exact aircraft registration is confirmed in writing before departure. Aircraft photographs, cabin layouts and specifications provided before booking are illustrative unless expressly identified as relating to the exact registration proposed.

The Aeroinis standardThe aircraft is named before you commit. If we cannot name the Operator, we do not present the aircraft.

5. Price and payment

5.1 The Charter Price is the total amount payable as specified in the Flight Order or Invoice, in the currency stated there.

5.2 Payment is made to the bank account stated on the Aeroinis Invoice, or by payment card where Aeroinis offers that method for your booking. Bank charges imposed by your own bank are yours.

5.3 Payment deadline. Cleared funds must reach Aeroinis by the deadline stated in the Flight Order. If they do not, Aeroinis may either cancel the booking and release the aircraft — in which case the cancellation terms in section 8 apply — or, where you have given a Card Authorisation, charge the card under section C.2 of that document. Aeroinis takes one of those two courses for a given missed deadline, not both, and tells you in writing which it has taken.

5.4 Where you pay by bank transfer, Aeroinis may require a completed Card Authorisation Agreement as a condition of confirming the booking. That document governs what may be charged to the card and when; nothing may be charged under it that is not authorised there.

5.5 Payment security. Aeroinis bank details do not change by informal message. Verify any notification purporting to change them by calling the desk on a number you already hold. Aeroinis will never ask you to transfer funds to a new account on the basis of an unverified message alone.

6. Costs that may arise after the flight

6.1 Some operational costs cannot be known until the flight has operated: extended ground waiting, crew duty extension, de-icing, additional sectors flown at your request, catering ordered on board, ground handling variations, airport charges levied after the event, and damage attributable to passengers.

6.2 Where such costs arise, Aeroinis will send you an itemised statement supported by the Operator's invoice before any amount is collected. Charges must be reasonable, documented and customary for the aircraft, route and service concerned.

6.3 Post-flight charges are notified within sixty (60) days of the flight date. Where a card is held under the Card Authorisation Agreement, collection follows the notification procedure set out in that document.

How this worksMost flights carry none of these. You are told, with the Operator's invoice attached, before anything is collected.

7. Changes you request

7.1 A request to change the departure airport, destination, date or time, passenger manifest, aircraft requirements, baggage, catering, pets or ground services is subject to Operator approval and operational feasibility.

7.2 A requested amendment may result in additional charges, which are quoted to you before they are incurred.

7.3 No amendment is binding until confirmed by Aeroinis in writing.

8. Cancellation

8.1 The cancellation conditions applicable to your booking are stated expressly in the Flight Order, or in Operator conditions disclosed to you before booking. They are not invented afterwards.

8.2 Cancellation charges may reflect amounts charged by the Operator, positioning costs, third-party costs, non-refundable services already committed, Aeroinis' disclosed brokerage fee and other documented cancellation costs.

8.3 A no-show may result in a cancellation charge of up to 100% of the Charter Price where the Flight Order says so.

8.4 Aeroinis will not impose undisclosed booking-specific cancellation conditions after the Agreement has become binding.

8.5 Where mandatory consumer law grants you greater rights than this Agreement, those rights prevail.

9. Operator change and aircraft substitution

9.1 The Operator may occasionally need to change the aircraft for operational, technical or safety reasons.

9.2 Any substitute aircraft must be legally capable of performing the flight and reasonably suitable for the agreed mission.

9.3 Aeroinis will inform you of a material Operator or aircraft change as soon as reasonably practicable, and will bring you the alternative before anything moves.

9.4 If the Operator itself changes after booking, Aeroinis will give you the identity of the replacement Operator and any material change in commercial or operational terms.

9.5 Where applicable law gives you a right to reject such a change and obtain a refund, Aeroinis will honour that right.

10. Delay, technical failure and events beyond control

10.1 Neither Aeroinis nor the Operator is responsible for delay or non-performance caused by circumstances beyond reasonable control, including weather, air traffic control, airport restrictions, government or regulatory action, security requirements, industrial action, or acts of war or terrorism.

10.2 Where the aircraft cannot operate for technical reasons, the Operator will use commercially reasonable efforts to provide a substitute aircraft or a rescheduled flight. Aeroinis does not guarantee that a replacement will be available.

10.3 Where a replacement is available at a different price, Aeroinis will disclose the difference before you become responsible for it.

10.4 If the flight cannot be performed and no acceptable replacement can reasonably be arranged, Aeroinis will administer the applicable refund in accordance with the Terms of Business.

10.5 Whatever happens operationally, Aeroinis remains your single point of coordination.

11. Passengers, documents and baggage

11.1 You are responsible for ensuring that every passenger holds valid identification, passports, visas and any other documentation required by the departure, transit and destination states.

11.2 Aeroinis does not verify travel documents and is not responsible for denied boarding or refused entry arising from missing or invalid documentation.

11.3 Baggage is carried subject to the Operator's conditions and applicable law. Baggage and cargo claims are directed to the Operator.

11.4 The captain has final authority on all matters of flight safety.

12. Liability

12.1 The Operator is responsible for the performance and operation of the flight.

12.2 Liability for international carriage of passengers and baggage may be governed by applicable international conventions, including the Montreal Convention 1999. Where applicable, statutory passenger-protection regimes impose obligations on the operating carrier.

12.3 Aeroinis' liability arises from its own brokerage services. Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

12.4 Subject to clause 12.3, Aeroinis is not liable for the acts or omissions of the Operator or its crew, and any limitation of Aeroinis' liability is as set out in the Terms of Business.

13. Discretion and personal data

13.1 Passenger and itinerary information is provided only where necessary to arrange, file and perform the flight — to the operating carrier and to the relevant operational or regulatory parties, including airports, handling agents, immigration, customs, security authorities and ground transport providers.

13.2 Your booking is never published, listed or used in marketing. Aeroinis does not name clients.

13.3 Personal data is processed in accordance with the Aeroinis Privacy Policy and applicable legislation including the Turkish Personal Data Protection Law No. 6698 (KVKK) and, where it applies, the GDPR. Retention and deletion follow that policy and applicable legal and contractual retention requirements.

14. Electronic acceptance

14.1 You may accept this Agreement electronically. Electronic acceptance is given the same effect as a signature to the extent permitted by applicable law.

14.2 On acceptance, Aeroinis records the booking reference, the document version, the acceptance timestamp (UTC), the name and email given at acceptance, and technical information about the request, and retains that record as evidence of the agreement reached.

15. Governing law and jurisdiction

15.1 The governing law and jurisdiction applicable to your booking are stated expressly in the Flight Order.

15.2 For bookings contracted by the Türkiye-established Aeroinis contracting entity, this Agreement is governed by the laws of the Republic of Türkiye, and the Istanbul Courts and Enforcement Offices have jurisdiction. The jurisdiction of those courts is non-exclusive. Where you are a consumer, nothing in this clause affects your right under Turkish Law No. 6502 to apply to the consumer arbitration committee (tüketici hakem heyeti) or to the consumer court of your own place of residence.

15.3 Nothing in this Agreement limits any mandatory consumer-protection right available to you under applicable law.

15.4 If any provision is held invalid or unenforceable, the remainder of the Agreement continues in force.
