Terms of Business

Version 1.0 · Effective 23 August 2026 · Aeroinis Aviation acts as an independent air charter broker. Aircraft are operated exclusively by licensed third-party operators holding operational control of the flight.

These Terms of Business (“Terms”) govern air charter brokerage services arranged by Aeroinis Aviation (“Aeroinis”, “we”, “us”, “our”) for the person or entity purchasing or requesting those services (“Client”, “you”, “your”).

These Terms must be read together with the applicable Quotation, Flight Order, Invoice and any booking-specific Special Conditions.

Important broker disclosure

Aeroinis Aviation is an independent air charter broker. Aeroinis does not own, operate, maintain or exercise operational control over aircraft and is not an air carrier.

All air transportation is performed by appropriately licensed third-party aircraft operators holding the operating authority required for the relevant flight.

The operating aircraft operator retains exclusive operational control over the aircraft, crew and flight at all times.

Unless expressly stated otherwise in the applicable Flight Order, Aeroinis acts solely as an intermediary arranging air transportation on behalf of the Client and does not itself provide air transportation.

The identity of the Aircraft Operator scheduled to perform the Flight will be disclosed to the Client before the booking becomes binding or, where not yet available for legitimate operational reasons, as soon as reasonably practicable and before performance of the Flight.

1. Definitions

For these Terms:

“Aeroinis Contracting Entity” means the legal entity identified as the contracting party on the applicable Flight Order and Invoice.

“Aircraft” means the aircraft proposed or used for a Flight.

“Aircraft Operator” or “Operator” means the licensed third-party air carrier having operational control of the Aircraft and performing the Flight.

“Agreement” means collectively the Flight Order, any booking-specific Special Conditions, these Terms of Business, the applicable Aircraft Charter Agreement, where applicable the Card Authorisation Agreement, the Quotation and, to the extent expressly incorporated, the Operator Conditions.

“Charter Price” means the total amount payable by the Client as specified in the Flight Order or Invoice.

“Client” or “Charterer” means the person or legal entity entering into the Agreement with Aeroinis.

“Flight” means the flight or series of flights described in the Flight Order.

“Flight Order” means Aeroinis' written booking confirmation setting out the essential commercial and operational terms of a particular charter.

“Operator Conditions” means the applicable terms and conditions of carriage or charter imposed by the Aircraft Operator.

“Passenger” means any individual travelling on the Flight.

“Quotation” means a proposal issued by Aeroinis before booking.

“Special Conditions” means booking-specific provisions disclosed to the Client before confirmation.

2. Contract documents and priority

2.1 Each booking is governed by the Agreement.

2.2 In the event of inconsistency, the following order of priority applies to the relationship between Aeroinis and the Client:

  • Flight Order
  • Special Conditions
  • these Terms
  • the Charter Agreement and the Card Authorisation Agreement
  • Quotation.

2.3 The Aircraft Operator's Conditions govern the actual carriage by air to the extent applicable to the relationship between the Operator and the Client or Passenger.

2.4 No undisclosed Operator condition may retrospectively increase the Client's financial obligations.

3. Role of Aeroinis

3.1 Aeroinis acts as an air charter broker and intermediary and not as the Aircraft Operator.

3.2 Aeroinis does not:

  • pilot or operate the Aircraft
  • employ or control the flight crew
  • determine aircraft airworthiness
  • exercise operational control
  • issue operational flight instructions; or
  • make decisions reserved by law or regulation to the Aircraft Operator or aircraft commander.

3.3 Unless the applicable Flight Order expressly states a different legally permitted capacity, Aeroinis arranges the Flight on behalf of the Client.

3.4 Aeroinis' remuneration may be included within the Charter Price or separately stated.

3.5 Where required by applicable law, Aeroinis will disclose its contractual capacity, remuneration structure or other information required concerning its relationship with the Operator.

4. Aircraft operator selection and due diligence

4.1 Aeroinis will exercise reasonable professional care when selecting an Aircraft Operator.

4.2 As part of its brokerage process, Aeroinis may request and review appropriate documentation concerning:

  • operating authority
  • Air Operator Certificate or equivalent authority
  • aircraft registration and operating authority
  • aviation liability insurance; and
  • other documentation reasonably relevant to the proposed Flight.

4.3 Aeroinis' document review does not constitute an independent aviation safety audit, airworthiness inspection, regulatory certification or guarantee of the Operator's future performance.

4.4 Operational safety, airworthiness and regulatory compliance remain the responsibility of the Aircraft Operator and the competent aviation authorities.

4.5 Aeroinis will not knowingly arrange commercial air transportation on an aircraft lacking the operating authority legally required for that Flight.

5. Quotations

5.1 Quotations are invitations to book and are not binding reservations unless expressly stated otherwise.

5.2 Every Quotation is subject to:

  • Aircraft availability
  • Operator acceptance
  • owner approval where applicable
  • crew availability
  • permits
  • traffic rights
  • airport slots
  • parking
  • airport operating restrictions
  • handling availability
  • regulatory approval; and
  • other operational requirements.

5.3 Availability may change without notice until the booking has been confirmed.

5.4 Any validity period stated in a Quotation relates to the quoted commercial terms and does not guarantee continued Aircraft availability.

5.5 Aircraft photographs, cabin layouts and specifications provided before booking are illustrative unless expressly identified as relating to the exact Aircraft registration proposed.

6. Formation of a booking

6.1 A booking becomes binding only when:

  • a. the Client has accepted the Flight Order in writing or electronically;
  • b. Aeroinis has confirmed acceptance of the booking;
  • c. the Aircraft Operator has accepted the Flight; and
  • d. any payment required to secure the Flight has been received in cleared funds, unless Aeroinis expressly agrees otherwise.

6.2 Acceptance may be made by electronic signature, e-mail or another electronic communication expressly accepted by Aeroinis.

6.3 Before a booking becomes binding, the Flight Order will identify or incorporate:

  • the Aeroinis Contracting Entity
  • itinerary
  • proposed Aircraft type
  • Aircraft Operator, where available
  • Charter Price
  • payment terms
  • cancellation conditions
  • material exclusions
  • material Special Conditions; and
  • governing law and jurisdiction applicable to the Aeroinis brokerage agreement.

6.4 The Client is responsible for reviewing the Flight Order immediately and informing Aeroinis of any error.

7. Price, taxes and payment

7.1 The Charter Price is stated in the Flight Order and Invoice.

7.2 Unless expressly stated otherwise, the Charter Price includes only the items described as included in the Flight Order.

7.3 Taxes, government charges and mandatory aviation charges known and applicable at the time of quotation will be included or separately disclosed.

7.4 Additional charges may arise only where permitted under the Agreement, including as a result of:

  • Client-requested itinerary changes
  • additional flying
  • additional waiting or ground time
  • de-icing
  • special catering
  • additional ground handling
  • additional airport charges
  • extraordinary permit or positioning costs
  • Wi-Fi or satellite communications
  • additional Passenger requirements; or
  • changes arising after booking that are requested or accepted by the Client.

7.5 Wherever reasonably practicable, Aeroinis will obtain Client approval before committing the Client to a material additional discretionary charge.

7.6 Payment must be made in the currency and to the bank account stated on the Aeroinis Invoice.

7.7 A Flight need not be secured or operated until all amounts required before departure have been received in cleared funds.

7.8 The Client bears bank charges imposed by its own bank unless otherwise agreed.

8. Payment security and fraud prevention

8.1 Aeroinis may require additional verification before accepting or releasing funds.

8.2 The Client must independently verify any notification purporting to change Aeroinis bank account details.

8.3 Aeroinis will never require a Client to transfer funds to a new bank account solely on the basis of an informal message without supporting verification.

8.4 Aeroinis may delay acceptance of a booking or payment where fraud, identity theft, money laundering or payment irregularity is reasonably suspected.

9. Changes requested by the client

9.1 Any request to change:

  • departure airport
  • destination
  • departure date or time
  • Passenger manifest
  • Aircraft requirements
  • baggage requirements
  • catering
  • pets
  • ground services; or
  • other material booking details

is subject to Operator approval and operational feasibility.

9.2 A requested amendment may result in additional charges.

9.3 No amendment is binding until confirmed by Aeroinis in writing.

10. Cancellation by the client

10.1 The cancellation conditions applicable to each booking will be expressly stated in the Flight Order or incorporated Operator Conditions disclosed before booking.

10.2 Cancellation charges may reflect:

  • amounts charged by the Aircraft Operator
  • positioning costs
  • third-party costs
  • non-refundable services already committed
  • Aeroinis' disclosed brokerage or service fee; and
  • other documented cancellation costs.

10.3 A no-show may result in a cancellation charge of up to 100% of the Charter Price where stated in the Flight Order.

10.4 Aeroinis will not impose undisclosed booking-specific cancellation conditions after the Agreement has become binding.

10.5 Where mandatory consumer law grants the Client greater rights, those mandatory rights prevail.

11. Operator change or aircraft substitution

11.1 The Aircraft Operator may occasionally need to change the Aircraft for operational, technical or safety reasons.

11.2 Any substitute Aircraft must be legally capable of performing the Flight and reasonably suitable for the agreed mission.

11.3 Aeroinis will inform the Client of a material Operator or Aircraft change as soon as reasonably practicable.

11.4 If the Aircraft Operator itself changes after booking, Aeroinis will provide the Client with the identity of the replacement Operator and any material change in commercial or operational terms.

11.5 Where applicable law gives the Client a right to reject such change and obtain a refund, Aeroinis will honour that right.

12. Technical failure, operator cancellation and replacement aircraft

12.1 If a confirmed Aircraft becomes unavailable because of technical failure or another Operator-related event, Aeroinis will use reasonable commercial efforts to source a suitable alternative.

12.2 Aeroinis does not guarantee that a replacement Aircraft will be available.

12.3 Where a replacement is available at a different price, Aeroinis will disclose the difference before the Client becomes responsible for it.

12.4 Aeroinis is not obliged to fund the additional cost of a replacement Aircraft from its own resources unless the additional cost results directly from Aeroinis' breach of the Agreement or Aeroinis expressly agrees otherwise.

12.5 If the affected Flight cannot be performed and no replacement acceptable to the Client can reasonably be arranged, Aeroinis will administer the applicable refund in accordance with:

  • the Flight Order
  • Operator Conditions
  • amounts recoverable from the Operator and third parties; and
  • mandatory applicable law.

12.6 Aeroinis will not retain a brokerage fee relating solely to an unperformed Flight cancelled because of Operator failure unless a separate non-refundable sourcing or professional service fee was clearly disclosed to the Client before booking and retention is permitted by applicable law.

13. Operational control and flight decisions

13.1 The Aircraft Operator and aircraft commander have exclusive authority over operational and safety matters.

13.2 The aircraft commander may, where reasonably required for safety, security, legality or operational necessity:

  • delay departure
  • change routing
  • divert
  • make an intermediate landing
  • reject baggage or cargo
  • refuse carriage of a Passenger
  • change a departure or destination airport; or
  • terminate or cancel a Flight.

13.3 Aeroinis cannot override such operational decisions.

13.4 Flight times are estimates unless expressly guaranteed by the Operator, and are subject to operational restrictions including air traffic control, weather, airport restrictions and crew duty limitations.

14. Passenger responsibilities

14.1 The Client must provide accurate Passenger information within the time requested.

14.2 Each Passenger is responsible for obtaining and carrying valid:

  • passports
  • visas
  • residence permits
  • health documentation
  • immigration documentation; and
  • other required travel documents.

14.3 Neither Aeroinis nor the Operator is responsible for a Passenger's failure to satisfy immigration, customs, health or entry requirements except to the extent caused by incorrect information expressly provided by Aeroinis.

14.4 The Client is responsible for ensuring that Passengers arrive at the agreed departure point by the required reporting time.

14.5 Late arrival may result in additional charges, loss of airport slots or cancellation of the Flight.

15. Baggage, pets and special requirements

15.1 Baggage capacity depends on the specific Aircraft.

15.2 The Client must disclose unusually large, heavy or specialist baggage before booking.

15.3 Pets are subject to:

  • Operator approval
  • destination-country requirements
  • veterinary documentation
  • airport rules; and
  • Aircraft restrictions.

15.4 Aeroinis does not guarantee acceptance of pets, oversized baggage, sporting equipment or specialist equipment unless confirmed in writing.

16. Passenger conduct and damage

16.1 Passengers must follow all lawful instructions of the Aircraft Operator and crew.

16.2 The Operator may refuse carriage where a Passenger:

  • presents a safety or security risk
  • is abusive or disruptive
  • appears unfit to travel safely
  • carries prohibited items
  • fails to provide required documentation; or
  • otherwise breaches applicable law or Operator rules.

16.3 To the extent legally permitted, the Client is responsible for reasonable and documented costs arising from damage or exceptional cleaning caused by the Client or its Passengers.

17. Sanctions, AML, KYC and legal compliance

17.1 Aeroinis may conduct identity, sanctions, anti-money-laundering, fraud and compliance checks where reasonably necessary.

17.2 The Client must provide information reasonably required for such checks.

17.3 Aeroinis may refuse, suspend or cancel a transaction where Aeroinis reasonably considers that performance may:

  • violate sanctions
  • breach export-control laws
  • breach anti-money-laundering requirements
  • breach aviation regulations
  • create a serious fraud or security risk; or
  • otherwise be unlawful.

17.4 Any refund in such circumstances remains subject to applicable law and any legally required restriction or freezing obligation.

18. Cargo charter and time-critical logistics

18.1 These Terms govern Aeroinis' brokerage role in arranging aircraft charter.

18.2 Cargo charter may additionally be subject to:

  • air waybill conditions
  • cargo-specific Operator Conditions
  • dangerous goods requirements
  • customs requirements
  • export-control requirements; and
  • applicable international carriage conventions.

18.3 On-board courier, next-flight-out, road transport, customs brokerage, warehousing and other logistics services are not governed exclusively by these Air Charter Brokerage Terms and may be subject to separate Aeroinis Logistics Special Conditions and/or third-party service-provider conditions.

18.4 Where such additional services form part of a booking, the applicable terms will be identified in the relevant Quotation or service order.

19. Air carrier liability

19.1 The Aircraft Operator is responsible for the performance and operation of the Flight.

19.2 Liability for international carriage of Passengers, baggage or cargo may be governed by applicable international conventions, including the Montreal Convention 1999, where applicable.

19.3 Where applicable, statutory passenger protection regimes, including Regulation (EC) No 261/2004, impose relevant obligations on the operating air carrier.

19.4 Nothing in these Terms is intended to remove or reduce any liability or passenger right that cannot legally be excluded or limited.

20. Liability of Aeroinis

20.1 Aeroinis is responsible for performing its own brokerage obligations with reasonable care and skill.

20.2 Aeroinis is not responsible for the independent acts or omissions of the Aircraft Operator, airports, handlers, authorities, security providers or other third parties except to the extent that liability arises from Aeroinis' own breach of duty and cannot lawfully be excluded.

20.3 Aeroinis is not responsible for:

  • aircraft operation
  • aircraft maintenance
  • crew actions
  • air traffic control
  • weather
  • airport closure
  • airspace closure
  • governmental restrictions
  • operational safety decisions; or
  • other matters outside Aeroinis' reasonable control.

20.4 For Clients acting in the course of business, and to the fullest extent permitted by applicable law, Aeroinis will not be liable for indirect or consequential loss, including loss of profit, loss of business opportunity or loss of anticipated savings.

20.5 Nothing in these Terms excludes or limits liability for:

  • fraud
  • wilful misconduct
  • liability that cannot legally be excluded
  • death or personal injury caused by Aeroinis' negligence where such liability cannot be limited; or
  • mandatory consumer rights.

21. Client indemnity

To the extent permitted by applicable law, the Client shall be responsible for reasonable losses, liabilities and third-party claims caused by:

  • false information supplied by the Client
  • unlawful conduct of the Client or its Passengers
  • prohibited goods
  • breach of sanctions or export-control requirements attributable to the Client
  • damage caused to an Aircraft by the Client or its Passengers; or
  • the Client's material breach of the Agreement.

This clause applies only to the extent the relevant loss was caused by the Client or persons for whom the Client is legally responsible.

22. Force majeure and events outside reasonable control

Neither Aeroinis nor, to the extent provided in its applicable conditions, the Operator shall be liable for failure or delay caused by circumstances beyond reasonable control, which may include:

  • severe weather
  • natural disasters
  • war
  • terrorism
  • civil disturbance
  • epidemic or public-health restrictions
  • airspace closure
  • airport closure
  • government action
  • sanctions
  • air traffic control restrictions
  • strikes
  • security incidents
  • extraordinary airport restrictions; or
  • other comparable events.

This clause does not remove any refund or passenger right that is mandatory under applicable law.

23. Insurance

23.1 The Aircraft Operator is responsible for maintaining insurance required by applicable aviation law.

23.2 Aeroinis may request evidence of Operator insurance as part of its brokerage due diligence.

23.3 Aeroinis' review of an insurance certificate is not a guarantee of coverage for any particular claim.

23.4 Where applicable law requires disclosure of whether Aeroinis itself carries broker liability insurance and the applicable limits, such information will be provided before booking.

24. Confidentiality

Aeroinis will treat Client itineraries, commercial information and booking information as confidential, subject to disclosures reasonably necessary to:

  • arrange the Flight
  • obtain quotations
  • perform compliance checks
  • meet legal obligations; or
  • provide related services requested by the Client.

25. Data protection

25.1 Personal data is processed in accordance with Aeroinis' Privacy Policy and applicable data-protection legislation.

25.2 Depending on the booking, Passenger information may need to be supplied to:

  • Aircraft Operators
  • airports
  • handlers
  • immigration authorities
  • customs authorities
  • security authorities
  • ground-transport providers; and
  • other parties necessary for performance of the service.

25.3 Where applicable, Aeroinis will process personal data in accordance with legislation including the Turkish Personal Data Protection Law No. 6698 (“KVKK”) and the EU General Data Protection Regulation (“GDPR”).

26. Electronic communications

26.1 The Client agrees that operational and contractual communications may be conducted electronically.

26.2 E-mail, electronic signature platforms and expressly accepted electronic messaging may be used for booking communications.

26.3 Aeroinis may require formal confirmation by e-mail or electronic signature before accepting a material amendment, cancellation or payment instruction.

27. Complaints

Any complaint concerning Aeroinis' brokerage services should be notified to Aeroinis promptly with sufficient information to investigate the matter.

Where the complaint concerns operation of the Flight, Aeroinis will reasonably assist the Client in directing the matter to the Aircraft Operator.

Nothing in this clause limits any mandatory statutory right.

28. Consumer rights

28.1 If the Client is acting as a consumer, nothing in these Terms excludes, restricts or overrides mandatory rights granted by the law applicable to that consumer.

28.2 Any provision that would be unenforceable against a consumer shall apply only to the maximum extent legally permitted.

28.3 The invalidity or unenforceability of one provision does not affect the remainder of these Terms.

29. United States transactions

Where a booking is subject to United States air charter broker regulations, including 14 CFR Part 295, Aeroinis will make any disclosures required by applicable law before the Client enters into the booking.

These may include:

  • the identity of the direct air carrier in operational control
  • the capacity in which Aeroinis is acting
  • required information concerning Aeroinis liability insurance
  • applicable third-party charges or relationships where disclosure is required; and
  • applicable refund rights.

Nothing in these Terms limits rights granted under mandatory United States aviation consumer-protection law.

30. General

30.1 The Agreement constitutes the entire agreement between Aeroinis and the Client concerning Aeroinis' brokerage services for the relevant booking.

30.2 No amendment is effective unless agreed in writing.

30.3 Failure or delay in exercising a contractual right does not constitute a waiver.

30.4 If any provision is found invalid or unenforceable, the remaining provisions remain effective.

30.5 The Client may not assign the Agreement without Aeroinis' prior written consent, except where mandatory law provides otherwise.

30.6 Headings are for convenience only and do not affect interpretation.

30.7 A person who is not a party to the Agreement has no contractual rights under it except where mandatory law provides otherwise.

31. Contracting entity, governing law and jurisdiction

31.1 The Aeroinis Contracting Entity for each transaction will be expressly identified in the Flight Order and Invoice.

31.2 The governing law and jurisdiction applicable to Aeroinis' brokerage agreement will be expressly stated in the Flight Order.

31.3 If governing law or jurisdiction is inadvertently omitted, the Agreement will, subject to any mandatory consumer-protection or conflict-of-law rules, be governed by the law of the jurisdiction in which the Aeroinis Contracting Entity has its registered office, and the competent courts of that jurisdiction shall have jurisdiction.

31.4 The law applicable to the actual carriage by air may differ and is determined by the Operator Conditions, applicable aviation legislation and international conventions.

32. Version and changes

These Terms apply to bookings entered into on or after the effective date shown above.

Aeroinis may update these Terms from time to time.

An amendment published after a booking has become binding will not retrospectively alter that booking unless:

  • the parties agree otherwise; or
  • the change is required by mandatory law.

33. Contact

Aeroinis Aviation

Private Aviation · Cargo Charter · Time-Critical Logistics

E-mail: go@aeroinis.com Operations / WhatsApp: +90 532 492 00 91

Aeroinis Aviation acts as an independent air charter broker. Aircraft are operated exclusively by appropriately licensed third-party aircraft operators having operational control of the relevant flight.

34. Aeroinis standing positions where a document is silent

Clauses 7, 10 and 31 leave certain commercial terms to the Flight Order. So that no booking can ever be made without them, the following apply whenever the Flight Order and any Special Conditions do not state otherwise. Where the Flight Order does state a term, that term prevails.

34.1 Governing law and jurisdiction. For bookings contracted by the Türkiye-established Aeroinis Contracting Entity, the Agreement is governed by the laws of the Republic of Türkiye, and the Istanbul Courts and Execution Offices (İstanbul Mahkemeleri ve İcra Daireleri) have non-exclusive jurisdiction. Where the Client is a consumer, nothing in this clause affects the Client's right under Turkish Law No. 6502 to apply to the consumer arbitration committee (tüketici hakem heyeti) or to the consumer court of the Client's own place of residence, and no arbitration clause applies to such a Client.

34.2 Payment. The Charter Price is payable in cleared funds no later than three working days before departure, and immediately on invoice for a booking made inside that period. A Flight is not secured until the funds have cleared.

34.3 Late payment. Interest accrues on any overdue amount at the statutory rate applicable to commercial debts, from the due date until payment, together with the reasonable documented costs of recovery. Aeroinis may treat non-payment by the due date as a cancellation by the Client under clause 10.

34.4 Cancellation scale. The following applies where the Flight Order states none, and is in every case subject to the Operator's own scale where that is stricter and was disclosed before booking: more than seven days before departure, 25% of the Charter Price; from seven days to 48 hours, 50%; from 48 to 24 hours, 75%; within 24 hours or on a no-show, 100%. A day means twenty-four hours. Where a positioning flight is required on an earlier day, the date of that positioning flight counts as the date of departure. Empty-leg and other one-way charters are non-refundable once confirmed. The time of cancellation is the time Aeroinis receives the Client's written notice.

34.5 No-show and waiting time. A Passenger who has not presented at the agreed departure point within sixty minutes of the agreed reporting time, and has not contacted Aeroinis, is treated as a no-show. Aircraft waiting time beyond any allowance stated in the Flight Order is charged at the Operator's published rate, disclosed before it is incurred wherever practicable.

34.6 Fuel and currency. The Charter Price is fixed unless the Flight Order states that it is subject to adjustment. Where it does, a movement of five per cent or less in the underlying fuel cost or exchange rate makes no difference to the price; a larger movement is applied symmetrically, as a surcharge or a reduction, and is calculated and notified before departure.

34.7 Limit of Aeroinis' liability. Subject to clause 20.5, and to the fullest extent permitted by applicable law, Aeroinis' total aggregate liability arising out of or in connection with a booking is limited to the Charter Price for that booking. Nothing in this clause excludes or limits liability for gross negligence or wilful misconduct, for death or personal injury caused by Aeroinis' negligence, for fraud, or for any liability that cannot lawfully be limited; an advance agreement excluding liability for gross fault is void under Article 115 of the Turkish Code of Obligations, and nothing here is intended to have that effect.

34.8 Notification of claims. A claim relating to a Flight should be notified to Aeroinis in writing as soon as reasonably practicable and in any event within thirty days of the Flight, so that it can be investigated while the evidence exists. This period does not shorten any statutory limitation period or any mandatory right.

34.9 Distance selling. Air passenger transport is outside the scope of the Turkish Distance Contracts Regulation under Article 2/2(h) of that Regulation, and a date-specific charter therefore carries no fourteen-day right of withdrawal. Aeroinis nevertheless observes the obligations that survive that exclusion: the essential characteristics of the service, the identity and MERSİS number of the contracting entity, and a total price inclusive of taxes are stated before the booking becomes binding, and no payment beyond the agreed Charter Price is taken without the Client's separate express consent.

34.10 Passenger data. Passenger data is collected only to arrange and file the Flight. It is transferred to the Aircraft Operator, which files it under its own statutory obligations and acts as an independent controller, to that Operator's handling agents, and to the border, customs, immigration and civil aviation authorities of the states flown from, into and over. Transfers abroad are made under the safeguards permitted by Article 9 of the Turkish Personal Data Protection Law No. 6698, including the standard contract published by the Personal Data Protection Board where that route applies. The Client warrants that it may lawfully provide each Passenger's data and that it has informed each Passenger of these matters.

34.11 Documents and signature. The Client's acceptance of a Flight Order by electronic signature is recorded with the signatory's name, the e-mail address used, the network address, the time in UTC and the version of the documents accepted. That record is retained as the audit trail of the Agreement.

34.12 Electronic signature and formal requirements. A charter booking is not subject to any statutory form requirement, and an electronic acceptance is binding. Where Turkish law reserves a transaction to a secure electronic signature or to an official form, that requirement prevails.

Contracting entity

Aeroinis Aviation — the Aeroinis Contracting Entity for each transaction is identified on the applicable Flight Order and Invoice, together with its registered office, trade registry and MERSİS numbers and tax details.

Counsel review notice. This version is published as Aeroinis' standing terms of business. Where a particular engagement requires terms reviewed and executed by counsel for that transaction, request them from the desk and they will be issued with the Quotation.
